General Terms and Conditions regarding Treasury Policy Templates (in the

following “documents”)

1) Contracting Parties Contracting parties are on the one side Stahr GmbH (in the following “Seller”) and on the other side the Buyer who defined himself by entering his information in the purchase order form.
2) Size and kind of Delivery • The seller delivers the ordered documents as soon as possible after successful payment made (usually within one or two business days). Delivery is with unsecured E-Mail to the address mentioned by the buyer. All documents are Microsoft Word and have no code. • All docments are written in englisch language.
3) Rights and Obligations • All submitted documents have been produced by the seller who is the owner of literary property. • The buyer has the right without time limitation to change and duplicate the documents. • The buyer has no right to publish or sell the documents in any way to persons or organisations outside his personal environment! This rule is valid for all documents which have a recognizable similarity to the original submitted documents. • For any violation the seller has the right to claim from buyer a protective fee of CHF 10’000.- per document plus additional claim for indemnity.
4) Liability Exclusion / Disclaimer • All statements, tables and pictures are only intended for pure information purpose and for use only by the buyer. • The documents do not represent any guidance or offer. • There is no guarantee on completeness, totality or accuracy. • All kind of oparation which result from the use of the documents exclude explicitely every kind of liability or responsibility by the seller..
5) Privacy Statement • Information about the address and the order in general are stored electronically by the seller. • It must be clear to the buyer that his submitted information regarding his name, e-mail, address and ordered products are transferred to the seller without encryption on the server of the seller’s IT-Provider with registered office in Switzerland. • Furthermore, the buyer recognize that his information made on the order-form are made on a so called “widget-provider” who has his offices i the United States. However, according statement of the widget-provider are stored in the European Union.The seller explicitely exclude all kind of liability for these third-party provider. • A transfer of the inital order information (without payment part) to a third party is impossible and excluded, as long the seller has the possibility to prevent it. • The seller has no access or influence to the payment process. Those information are not stored by the seller in any way. The buyer accknowledge that the whole payment process is subject of the directives and terms of the payment-provider PayPal. The seller explecitely exclude and warranty or liability regarding the payment process.
6) Place of Jurisdiction • Herewith both parties, the seller and the buyer, agree to Swiss Law as only applicable law. • Place of venue is the office of the seller, St. Gallen / Switzerland.
